1. Acceptance of Terms

Mavalis is a curated platform connecting discerning travelers with global expert guidance for personalized journeys. These Terms constitute a legally binding agreement between you and Mavalis. You confirm that you are at least 18 years of age and legally capable of entering into this agreement.

2. Changes to Terms

We reserve the right to modify or update these Terms at any time. We will notify you of any significant changes by posting the new Terms on our platform or by other reasonable means. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

3. The Mavalis Service

Mavalis provides a platform that facilitates connections between travelers and independent travel experts ("Experts"). Our Service includes:

• Expert Connection: Providing tools and features to help you find and connect with suitable Experts for your travel planning needs.

• Travel Planning Assistance: Enabling communication and collaboration between you and Experts for creating personalized travel itineraries.

• AI-Powered Platform (Phase Two): Offering advanced digital tools and resources to enhance your travel planning experience.

• Concierge Services: Facilitating access to additional services (e.g., bookings, reservations) as arranged through your Expert.

Important Note: Mavalis acts as a facilitator connecting you with Experts. We do not directly provide travel services (e.g., flights, accommodation, tours). Experts are independent contractors, and any contracts for travel services are directly between you and the Expert, or between you and the third-party travel providers (e.g., airlines, hotels) arranged by the Expert.

4. User Accounts

To access certain features of the Service, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during the registration process.

• Maintain the security of your password and identification.

• Promptly update your account information to keep it accurate and complete.

• Be responsible for all activities that occur under your account.

• Notify us immediately of any unauthorized use of your account.

5. User Conduct

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service. Prohibited conduct includes:

• Engaging in any activity that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

• Attempting to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service.

• Interfering with or disrupting the operation of the Service or the servers or networks connected to the Service.

• Using any automated system, including without limitation "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to the Mavalis servers than a human can reasonably produce in the same period by using a conventional web browser.

6. Fees and Payments

• Service Fees: Details regarding fees for Mavalis's platform access (e.g., membership fees, expert connection fees) will be clearly communicated to you before you incur any charges.

• Expert Fees: Experts set their own fees for their travel planning services. These fees will be agreed upon directly between you and the Expert. Mavalis is not responsible for collecting or remitting Expert fees, unless explicitly agreed otherwise.

• Third-Party Travel Services: You are responsible for all costs associated with actual travel services (e.g., flights, hotels, tours) booked through or arranged by your Expert. These payments will be made directly to the Expert or the third-party travel provider as per their terms.

• Payment Processing: We may use third-party payment processors to facilitate transactions on our platform. You agree to comply with their terms and conditions.

7. Intellectual Property

All content on the Mavalis platform, including text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Mavalis or its content suppliers and protected by international copyright laws. The compilation of all content on this site is the exclusive property of Mavalis.

8. Disclaimers and Limitation of Liability

• No Warranty: The Service is provided on an "as is" and "as available" basis. Mavalis makes no warranties, express or implied, regarding the Service, including but not limited to its accuracy, completeness, reliability, or fitness for a particular purpose.

• Expert Services: While Mavalis strives to connect you with high-quality Experts, we do not endorse or guarantee the quality, accuracy, or reliability of any Expert's services. Your engagement with an Expert is at your own risk.

• Travel Risks: Travel involves inherent risks. Mavalis is not responsible for any loss, injury, damage, or expense arising from your travel plans or any travel services booked through Experts or third-party providers.

• Limitation of Liability: To the fullest extent permitted by law, Mavalis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service, including without limitation, any defamatory, offensive, or illegal conduct of other users or Experts; or (c) unauthorized access, use, or alteration of your transmissions or content.

9. Indemnification

You agree to indemnify, defend, and hold harmless Mavalis, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Geneva, Switzerland to resolve any dispute arising out of these Terms or the Service.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Mavalis on the Service, constitute the entire agreement between you and Mavalis regarding the Service.
